Lockheed Martin, formed in 1995 through the merger of Lockheed Corporation and Martin Marietta, was one of the largest defense contractors in the world, employing about 140,000 globally. Lockheed Martin was in view of the acquirement of NationScape, Inc., a business that supports U.S. military preparation, diplomatic and development efforts, and peacekeeping, stabilization and nation building tasks in more than 65 nations around the world.

Lockheed Martin's international defense support operations could be increased by the acquisition and expand its capabilities to provide diplomatic and development services to complement its existing defense business. The corporation needed to determine a suitable cost for the acquisition and evaluate whether the acquisition would have been a good strategic and cultural fit for the corporation also.
