Takeover! 1997 (A): The Target: Global Foods Corporation Case Solution

The A case is the first in a string of instances that model a hostile takeover effort involving four firms during the month of January in 1997. The target company is an underperforming conglomerate with two main business segments: specialty chemicals and consumer foods. Students are organized by the activity into teams representing the four firms, and each team must negotiate an outcome that's most advantageous to its business. The parties are moved to act because the expiration of the tender offer of the raider will happen shortly, and if there's no higher offer owed, the arbitrageurs will tender their shares and the raider will tender its management. All. parties understand that the board of directors of the target company is meeting in several hours to settle on a strategy.
