Professor Jackson was offered a place on the slate of directors, Harold Simmons, the largest shareholder of Lockheed, has nominated for the board Lockheed, to oppose the slate nominated by Lockheed in the spring 1990 elections. Jackson must decide whether to join the slate Simmons. The case raises the question of what factors should be taken into account when deciding whether or not to join a slate, and the broader question of the role of proxy battles in corporate governance.
